Terms of Use

1. Who we are
Kapitelle is a business name of OVIDIA LLC, a New York limited liability company. Our mailing address is 2918 Avenue I, Suite #5350, Brooklyn, NY 11210, and our email is hello@kapitelle.com. In these terms, “Kapitelle,” “we,” “us” and “our” mean OVIDIA LLC doing business as Kapitelle. “You” means the person using this website or buying our services, and the business you represent.
2. Agreeing to these terms
By using kapitelle.com or buying a service from us, you agree to these terms and to our Privacy Policy. If you don’t agree, please don’t use the site or our services. You must be at least 18 to buy from us. Our services are for business purposes.
3. What Kapitelle does, and what it doesn’t
Kapitelle provides business consulting and business filing services.
Kapitelle is not a law firm, an accounting firm, a financial adviser or an insurance agency. We don’t give legal, tax, accounting, investment or insurance advice. Using this site or our services does not create an attorney-client relationship. Khila James, our founder, is not an attorney.
When a question needs a licensed professional, we’ll tell you. You are responsible for getting that advice.
We don’t promise results. We can’t promise that a loan, grant, certification, filing, contract or sale will be approved or will happen, or that your business will earn any amount. Outside agencies, lenders and programs make their own decisions on their own schedules.
4. Consultations
A consultation is a 60-minute video meeting. Within two business days after it, we send you a written plan.
- You agree to give us accurate information. Our plan depends on what you tell us.
- If you’re more than 15 minutes late, we may end the session at its scheduled end time.
- We don’t record sessions unless we ask you first and you agree.
- We may decline or cancel a booking. If we do, we refund you in full.
5. Fees and payment
A consultation costs $150, paid in full when you book. Payments are processed by our payment processor on behalf of OVIDIA LLC. The charge shows on your statement as “KAPITELLE.”
Any work beyond a consultation needs its own written quote, which you approve before we start. Government filing fees are separate from our fees and are shown on their own line.
6. No refunds, and rescheduling
Consultations are not refundable once paid.
- You may reschedule up to two times, as long as you do it at least 24 hours before your start time.
- If you cancel within 24 hours, or don’t attend, the session counts as used.
- A consultation must be held within 90 days of your payment.
- If we cancel, we refund you in full.
If you have a problem with a charge, please email hello@kapitelle.com first. We’ll work it out with you.
7. Filing services
If you hire us to file documents for your business:
- You choose the type of company and every detail that goes into the filing. We don’t advise on those choices.
- You confirm that the information you give us is true and complete. We file what you approve.
- Government agencies set their own fees and processing times. We don’t control them.
- We’ll explain in writing how we handle any sensitive information a filing needs before we ask for it.
8. What we send you
The written plan and other materials we prepare for you are yours to use in your own business. You may not resell or publish them. Everything else on this site, including the Kapitelle name, text and design, belongs to OVIDIA LLC.
9. Using the site
Please don’t misuse the site. That means no trying to break in, overload it, copy it in bulk, or use it for anything illegal. Don’t send us Social Security numbers, account numbers or passwords through the contact form.
10. Other companies’ services
We use outside providers for payments, scheduling, video meetings, email, forms, website hosting and analytics, and AI tools. When you use their pages, their terms and privacy policies also apply.
11. Disclaimers
The site and its content are provided “as is.” General information on this site is not advice for your situation.
12. Limits on our responsibility
To the extent the law allows, OVIDIA LLC is not responsible for indirect, incidental, special or consequential losses, or for lost profits, arising from the site or our services. Our total responsibility for any claim about a service is limited to the amount you paid us for that service.
13. Governing law
New York law governs these terms. Any dispute will be heard in the state or federal courts located in Kings County, New York, except that either of us may bring a claim in small claims court if it qualifies.
14. Changes
We may update these terms. The date at the top shows the latest version. The version in effect when you book applies to that booking.
